Terms of Service

These Terms govern access to CineGen’s websites, creative workspaces, AI generation tools, collaboration features, subscriptions, and related services.

1. Agreement and eligibility

These Terms form a binding agreement between you and AIon X LLC ("CineGen," "we," "us," or "our"). By clicking to accept, creating an account, or using CineGen, you agree to these Terms and acknowledge our Privacy Policy. If you use CineGen for an organization, you represent that you may bind that organization.

You must be at least 13 and legally permitted to use the service. If you are not yet the age of legal majority where you live, your parent or legal guardian must review and agree to these Terms. Verified avatars require you to be at least 18.

2. Accounts and security

Provide accurate account information, keep credentials and recovery methods secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for properly managing team access. Accounts and handles may not be sold, transferred, impersonated, or used to evade enforcement.

3. The service

CineGen provides browser-based editing, AI-assisted generation, media storage, scene and character tools, collaboration, review, rendering, and export features. Features, model providers, limits, and availability may change. Beta, preview, and experimental features may be incomplete, change without notice, or produce unexpected results.

You are responsible for maintaining compatible equipment, connectivity, backups of important source media, and independent copies of finished work. CineGen is not an archival or backup service.

4. Your content and permissions to operate CineGen

As between you and CineGen, you retain your rights in content you upload or create. You grant CineGen a worldwide, non-exclusive, royalty-free license to host, copy, transmit, modify, display, and process that content only as reasonably necessary to operate, secure, support, and improve the requested service, comply with law, and enforce these Terms. This license ends when the content is deleted, except for shared copies, backups, legal retention, and previously completed processing.

You represent that you have all rights and permissions needed for your content and instructions, including music, footage, voices, trademarks, locations, confidential information, and any person's name, image, voice, likeness, or personal information. Collaboration permissions you grant allow recipients to view, comment on, edit, download, or share content according to the role and link settings you choose.

5. AI inputs and outputs

You direct CineGen to submit selected inputs to AI providers to generate requested outputs. To the extent permitted by law and subject to third-party rights, you may use outputs generated for you. AI outputs may be inaccurate, offensive, incomplete, non-unique, or ineligible for intellectual-property protection. Another user may receive similar output.

You must review output before relying on or publishing it, make legally required disclosures, and obtain professional advice where appropriate. Do not represent synthetic media as authentic evidence or use it to mislead people about a real person or event.

6. Likeness, voice, and verified avatars

You may use another person's likeness or voice only with a lawful basis and all required permission. Do not create deceptive impersonations, non-consensual intimate content, or content that exploits a minor. A verified avatar may be enrolled only by the adult whose live likeness is captured. You may not lend verification, defeat liveness checks, or use another person to verify your avatar.

7. Acceptable use

You may not use CineGen to:

  • Break the law, violate another person's rights, or create, upload, or distribute infringing, fraudulent, defamatory, harassing, exploitative, or unlawfully discriminatory material.
  • Create sexual content involving minors, sexualized minors, child sexual abuse material, non-consensual intimate imagery, or content facilitating exploitation or trafficking.
  • Deceive, defraud, impersonate, manipulate elections, fabricate evidence, evade required synthetic-media disclosures, or falsely imply endorsement.
  • Threaten, incite, facilitate, or depict instructions for serious harm, illegal weapons, terrorism, or criminal activity where prohibited.
  • Upload malware; probe or bypass security; scrape the service; interfere with operation; access another user's account or data; circumvent plan, token, safety, or technical limits; or reverse engineer models or protected systems.
  • Use automated means to create accounts or generate abusive load without written permission.

We may remove content, limit generation, suspend access, preserve evidence, or report conduct when reasonably necessary to operate safely or comply with law.

8. Third-party content and services

CineGen may connect to model providers, sign-in providers, payment services, stock-media libraries, fonts, plug-ins, and other third-party services. Their terms, licenses, attribution rules, availability, and privacy practices apply to your use of their materials. Library availability does not mean every asset is cleared for every commercial, trademark, publicity, music, or other use. You are responsible for reviewing the displayed source and license.

9. Plans, tokens, billing, and cancellation

Plan features, prices, token allowances, processing costs, and billing periods are shown at purchase or in the service. Subscriptions renew automatically until canceled. You authorize Stripe and CineGen to charge the payment method associated with your account for recurring fees, applicable taxes, and authorized purchases.

  • You can cancel through the billing portal; access continues through the paid period unless stated otherwise.
  • Fees are non-refundable except where the checkout terms say otherwise or law requires a refund.
  • Subscription tokens may reset or expire with the applicable billing cycle. Purchased-token treatment is shown at purchase. Tokens have no cash value, cannot be transferred, and may be adjusted for refunds, chargebacks, fraud, or processing reversals.
  • Promotions, trials, and coupon codes may have eligibility, redemption, duration, and non-combination rules. We may correct obvious pricing errors before fulfilling a purchase.

We will provide notice required by law before materially changing recurring subscription prices.

10. Intellectual property and feedback

CineGen and its software, design, branding, documentation, and underlying technology are owned by AIon X LLC and its licensors. These Terms grant only a limited, revocable, non-transferable right to use the service as intended. If you submit product feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation, without identifying you publicly unless you agree.

11. Copyright complaints

If you believe content available through CineGen infringes your copyright, send a sufficiently detailed notice to support@aionx.aionapp.org, including identification of the work and material, your contact information, a good-faith statement, an accuracy and authority statement made under penalty of perjury, and your physical or electronic signature. We may remove material and terminate repeat infringers where appropriate.

12. Suspension, termination, and account deletion

You may stop using CineGen and schedule account deletion at any time. We may suspend or terminate access for material or repeated violations, security threats, fraud, legal risk, non-payment, or conduct that could harm CineGen or others. Where practical, we will provide notice and an opportunity to export content, but urgent safety, legal, or security circumstances may require immediate action.

Provisions that by their nature should survive—including ownership, payment obligations, disclaimers, liability limits, indemnity, and dispute terms—remain effective after termination.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CINEGEN IS PROVIDED "AS IS" AND "AS AVAILABLE." AIon X LLC AND ITS PROVIDERS DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICE OR AI OUTPUT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, UNIQUE, OR SUITABLE FOR A PARTICULAR USE.

Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIon X LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO CINEGEN WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CINEGEN IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US $100. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.

15. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless AIon X LLC and its affiliates, personnel, and providers from third-party claims, damages, and reasonable costs arising from your content, your use of CineGen, your violation of these Terms, or your violation of another person's rights. This obligation does not apply to the extent a claim results from our own unlawful conduct.

16. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute that is not eligible for small-claims court will be brought in a state or federal court with jurisdiction in California, and each party consents to personal jurisdiction there. Mandatory consumer protections in your home jurisdiction remain unaffected.

Before filing a claim, contact support@aionx.aionapp.org and give us 30 days to attempt an informal resolution. This section does not prevent either party from seeking urgent injunctive relief.

17. General terms

We may update these Terms to reflect service, provider, safety, or legal changes. We will post the effective date and request renewed acceptance for material changes. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, acquisition, or sale. If one provision is unenforceable, the remainder stays effective. Failure to enforce a provision is not a waiver. These Terms and referenced policies are the entire agreement concerning CineGen unless a separate written agreement applies.
